Welcome to DesignNest. These Terms of Service ("Terms") govern your use of the DesignNest platform and services provided by wealthXproject FZC ("Company," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using DesignNest, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

If you are using DesignNest on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

DesignNest is a project management platform designed for interior designers, providing tools for:

  • Project and room management
  • Client and team communication
  • Shopping list and procurement tracking
  • Financial management (payments, expenses, invoices)
  • File storage and organization
  • Calendar and scheduling
  • Client portal access

3. Account Registration

3.1 Account Creation

To use DesignNest, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Choose a strong, unique password
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access
  • Log out from shared or public devices

3.3 Account Types

DesignNest offers different user roles with varying access levels:

  • Head Designer: Full administrative access to all features
  • Team Member: Access to assigned projects and collaboration features
  • Client: Limited access to view their own project information

4. Acceptable Use

4.1 Permitted Use

You may use DesignNest only for lawful purposes and in accordance with these Terms. You agree to use the platform for legitimate interior design project management activities.

4.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the platform's functionality
  • Use the platform for fraudulent purposes
  • Share account credentials with unauthorized users
  • Resell or redistribute access to the platform
  • Scrape or harvest data from the platform
  • Use automated systems without permission

5. User Content

5.1 Ownership

You retain ownership of all content you upload to DesignNest, including project files, designs, messages, and other materials ("User Content"). We do not claim ownership of your User Content.

5.2 License Grant

By uploading User Content, you grant us a limited, non-exclusive license to store, display, and process your content solely for the purpose of providing our services to you.

5.3 Your Responsibilities

You are solely responsible for your User Content and represent that:

  • You have the right to upload and share the content
  • Your content does not violate any third-party rights
  • Your content complies with all applicable laws

6. Payment Terms

6.1 Subscription Fees

Access to DesignNest may require payment of subscription fees. Pricing and payment terms will be provided before you subscribe and may be subject to change with notice.

6.2 Billing

By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan. All fees are non-refundable except as required by law or as stated in our refund policy.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to the platform until the end of the paid period.

7. Intellectual Property

7.1 Our Rights

DesignNest, including its design, features, functionality, and content (excluding User Content), is owned by wealthXproject FZC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Trademarks

DesignNest, our logo, and other brand elements are trademarks of wealthXproject FZC. You may not use our trademarks without prior written consent.

8. Third-Party Services

DesignNest may integrate with or contain links to third-party services. We are not responsible for the content, terms, or practices of these third parties. Your use of third-party services is at your own risk and subject to their respective terms.

9. Disclaimer of Warranties

DESIGNNEST IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The platform will be uninterrupted or error-free
  • Defects will be corrected
  • The platform is free of viruses or harmful components
  • The platform will meet your specific requirements

We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTHXPROJECT FZC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use or inability to use the platform

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless wealthXproject FZC and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account settings. Upon termination, you will lose access to the platform and your data.

12.2 By Us

We may suspend or terminate your access to DesignNest at any time, with or without cause, including for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At our sole discretion with reasonable notice

12.3 Effect of Termination

Upon termination, your right to use the platform ceases immediately. We may delete your data after a reasonable retention period, unless retention is required by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms or your use of DesignNest shall be resolved through binding arbitration in Ajman, UAE, except where prohibited by law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and wealthXproject FZC regarding DesignNest.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations without restriction.
